General terms and conditions

These General Terms and Conditions (hereinafter the „GTC“) set out the mutual rights and obligations of the Provider, Ing. Tomáš Vyšinský, Company ID (IČ) 06856446, registered in the Czech Republic, and the Customer in connection with the provision of the content of interactive Courses and recorded lectures through the website available at the internet address (URL): https://www.cinemaprojectionist.com, in accordance with Act No. 89/2012 Coll., the Czech Civil Code.

These GTC apply worldwide, to Customers in the Czech Republic as well as to Customers in any other country. They apply where the Customer is a legal entity, a person acting in the course of their business activity or independent profession, or an end consumer.

Important notice on the seller of record. Purchases made through the international checkout are sold by Paddle.com Market Ltd (and its affiliates) acting as the Merchant of Record (the „Reseller“). This means that the purchase contract for the product is concluded between the Customer and the Reseller, not with the Provider; the Reseller issues the invoice, collects payment and is responsible for the calculation and remittance of VAT, sales tax and any equivalent taxes. The Provider supplies the digital content and grants the Customer the licence to use it under these GTC. The Reseller's own terms of sale and refund policy, available at https://www.paddle.com/legal/checkout-buyer-terms, apply to the purchase transaction alongside these GTC; where the two conflict in respect of payment, invoicing, taxes or refunds, the Reseller's terms prevail.

Art. I Definitions

  1. „Provider“ means the self-employed person Ing. Tomáš Vyšinský, Company ID (IČ) 06856446;
  2. „Customer“ means either a natural person over 15 years of age who, when concluding and performing the contract, is not acting in the course of their business or other entrepreneurial activity or in the course of their independent profession (a „consumer“), or a natural or legal person who, when concluding and performing the contract, is acting in the course of their business or other entrepreneurial activity or in the course of their independent profession;
  3. „Reseller“ means Paddle.com Market Ltd, a company incorporated in England and Wales, and its affiliates, acting as the Merchant of Record for purchases made through the international checkout, i.e. as the seller of the product to the Customer;
  4. „Website“ means the website available at the internet address (URL): https://www.cinemaprojectionist.com, operated by the Provider;
  5. „Course“ means any e-learning course offered by the Provider;
  6. „Time Interval“ means the period between the successful completion of a previous lesson and the time at which the following lesson is unlocked within a single Course; this period is stated in the description of each Course;
  7. „Price“ means the price of an individual product offered by the Provider;
  8. „Order“ means the order form available on the Website duly completed by the Customer, which at the same time constitutes a proposal to conclude the Contract;
  9. „Subject of Performance“ means the temporary, non-exclusive licence under which the Provider makes the digital content/Course temporarily available to the Customer upon confirmed payment;
  10. „Recipient“ means a person other than the Customer for whose benefit the Customer concludes the Contract;
  11. „Participant“ means the person who will actually take part in the Course; the Participant may be the Customer directly or a person designated by the Customer.

Art. II Content of the Courses

  1. The subject of the individual Courses is the education and deepening of the knowledge of students of film-oriented schools, employees and operators of cinemas, film post-production facilities, specialised audiovisual workplaces, film institutions and schools, as well as of the general public with an interest in working with film material (both analogue and digital) and cinema technology. The Courses have been developed by a professionally qualified person.
  2. The Provider offers Courses according to its capacity, to the extent stated on the Website. The Provider undertakes that this digital content/these Courses will be accessible to the Customer throughout the entire term of the time-limited non-exclusive licence.
  3. The digital content/Courses are designed to be clear and comprehensible both to persons with prior knowledge and to those without it. They may therefore be used both for an initial introduction to the field and for deepening existing knowledge.
  4. The Courses have the characteristics of e-learning modules. They consist of a set number of lessons. Each lesson is divided into chapters. Each chapter has a fixed defined average duration during which access to the following chapter is locked. A lesson is successfully completed only upon passing all progress tests with a 100 % score. The number of test attempts is not limited. The set Time Interval must elapse between the successful completion of a lesson and the unlocking of the next one.
  5. It is assumed that the Customer will also complete practical training at a real workplace to the extent recommended within the purchased Course. It is the Customer's responsibility to arrange and complete such practical training to the recommended extent. Within the Course the Provider provides a list of recommended workplaces; choosing from this list is not mandatory. The practical training is free of charge and does not form part of the Subject of Performance. The dates are determined by the head of the workplace concerned, who is also responsible for occupational safety instruction.

Art. III Conclusion of the Contract

  1. The designation of the products, the description of their main characteristics and their price are always stated in the Provider's e-shop. The offer of products remains valid for as long as it is displayed in the e-shop. The Provider is entitled to conclude a contract with a customer on individually agreed terms.
  2. The price of each product is always stated next to it on the Website under the „Course offer“ tab. The price is also always stated in the order form. Discount coupons, where applicable, may be redeemed on the „Your order“ page.
  3. The purchase contract for the product is concluded between the Customer and the Reseller acting as Merchant of Record. The Provider is obliged to provide or deliver the product ordered by the customer and to grant the licence under these GTC; the customer undertakes to pay the agreed price for it to the Reseller.
  4. Each Order may be placed and paid for in respect of one product (digital content/Course) only. Where several products are ordered, a separate Order must be placed for each of them.
  5. The Customer is obliged to state in the Order all information required by the Provider truthfully and accurately. An Order for digital content/a Course is tied to exactly one natural person.
  6. By submitting the Order, the Customer confirms that they have read these GTC, which form an integral part of the Contract.
  7. The price of the product and any costs associated with the delivery or provision of the digital content or Course are paid by the customer exclusively by cashless payment using the method selected at checkout. No delivery costs are charged for digital content or services.
  8. Payments through the international checkout are processed by the Reseller. In the case of cashless payment by payment card, the account, card and internet banking details are entered via a secure and trusted channel operated by the Reseller, and the Provider has no access to such data and does not store payment card details.
  9. Payment is generally a one-off payment. The Provider reserves the right to allow payment in instalments for selected products.
  10. The Contract is concluded at the moment when the Order Confirmation is delivered to the Customer's e-mail address. Where the purchase is made through the Reseller, the Reseller's order confirmation also serves as confirmation of the conclusion of the purchase contract.
  11. The Customer consents to the use of means of distance communication when concluding the contract and when accessing the digital content/Courses. Costs incurred by the customer in using means of distance communication in connection with the conclusion of the contract or with accessing the digital content/Courses (costs of internet connection, costs of telephone calls) are borne by the customer, and such costs do not differ from the basic rate.
  12. All prices are stated in the currency indicated at checkout. Where the checkout displays prices in the Customer's local currency, the conversion is performed by the Reseller. Any bank charges, currency conversion fees or charges imposed by the customer's own payment provider in connection with an international payment are borne by the customer.
  13. As Merchant of Record, the Reseller is responsible for determining, charging, collecting and remitting VAT, sales tax, goods and services tax and any equivalent taxes applicable to the purchase in the Customer's country. The applicable tax is calculated at checkout on the basis of the Customer's country and, where relevant, their tax status, and is shown before the order is submitted. Business customers may enter a valid VAT or tax identification number at checkout where the Reseller's checkout supports it. The Provider itself is not a VAT payer in the Czech Republic.
  14. The Reseller issues the invoice or receipt for the purchase, which serves as proof of purchase and contains all particulars required by the applicable tax legislation. The invoice is sent to the e-mail address stated by the Customer at checkout and is also available in the Reseller's buyer portal.
  15. The Customer, as the recipient of invoices, consents to electronic invoicing and to the sending of documents in electronic form.
  16. Should an obvious technical error occur on the part of the Provider in stating the price of a product in the e-shop or during the ordering process, the Provider is not obliged to deliver or provide such product at that manifestly erroneous price. The Provider will inform the customer of the error without undue delay and will send a corrected offer to the customer's e-mail address. Such corrected offer is deemed to be a new proposal of contract, and the contract is then concluded only upon the customer's confirmation that they agree with the new price.
  17. By paying for an Order for digital content/a Course, the Customer acquires the right to access that digital content/Course, i.e. acquires a temporary non-exclusive licence to use the e-learning course. The licence does not cover third-party materials, which are duly cited within the e-learning course.

Art. IV Delivery Terms

Digital content (e-learning courses, recordings of video lectures and presentations, e-books, online materials)

  1. In the case of digital content/Courses, delivery means making them accessible via the Provider's Website. A list of the purchased digital content/Courses is displayed in the details of the user account.
  2. Upon delivery of the digital content, the Provider recommends checking that it is complete and free of defects.
  3. The digital content/Courses are subject to change (in particular improvements and additions). No additional costs arise for the Customer as a result of such change. Where a change affects access to the digital content/Course, or where the content of such digital content or Course is substantially modified, the Customer will be informed by e-mail or directly in the interface in which the customer uses the digital content. Should such a change impair the customer's ability to use the digital content, the customer will be given the right to terminate the contract.

The Customer understands that proper use of the digital services and digital content requires the Customer to meet minimum technical requirements – in particular a duly updated internet browser supporting the display of PDF files and video (e.g. Mozilla Firefox, Google Chrome) and a stable high-speed internet connection. Where outdated software – an outdated internet browser – is used, the functionality of the services and digital content may be limited. Where the use of the digital content and services requires special software to be downloaded, the Provider will always state this in the e-shop next to the product concerned. In all cases, the customer must have an internet connection that is stable, sufficiently fast (min. 5 Mb/s) and secure.

Art. V Breach of Contract, Cancellation of an Order

  1. The Customer is not entitled to a refund of the Price in the case of obstacles arising on the Customer's side which prevent the Customer from duly completing the Course.
  2. The Provider is not liable for the impossibility of completing the Course for reasons on the Customer's side. Nor is the Provider liable for the Customer's inability to print out the necessary documents, for example due to the absence of a printer or a fault in the Customer's printer.

Art. VI Complaints, Right of Withdrawal

  1. The Provider is liable for ensuring that the services are free of defects, i.e. that they have the characteristics described in the detail of the Course or which the customer could expect having regard to the nature of the service. Subjective dissatisfaction with the services provided (e.g. where the Customer does not have the expected level of knowledge or ability after completing the course) is not considered a defect.
  2. Where the customer is a consumer, the customer has a statutory right to withdraw from a distance contract within 14 days. When placing an Order for digital content/a Course, the Customer may voluntarily give express prior consent to the digital content being made available before the expiry of the withdrawal period, acknowledging that by giving this consent and by the digital content being made available, the right of withdrawal ceases (Section 1837 of Act No. 89/2012 Coll., the Czech Civil Code, implementing Directive (EU) 2019/770 and Directive 2011/83/EU). Giving this consent is voluntary and is not a condition for completing the Order. Where the Customer does not give this consent, the digital content/Course will be made available only after the 14-day withdrawal period has elapsed. Where the customer's own national law grants the consumer broader rights in this respect, those rights are not affected.
  3. In the case of an Order for a Course, the subject of the sale is a temporary non-exclusive licence to digital content which is the intellectual property of the Provider (unless stated otherwise), and it therefore cannot be the subject of a complaint on grounds of the scope or focus of the content as such. The licence does not extend to third-party materials, which are always duly cited within the Courses. This does not affect the Customer's rights arising from defective performance under points 1, 4 and 5 of this Article.
  4. Where the purchased digital content is not duly made accessible to the customer, or where technical problems occur with the Website on the Provider's side, the customer may submit a complaint to the e-mail address info@promitacskykurz.cz. Complaints concerning payment, invoicing, taxes or refunds are handled by the Reseller and may be submitted through the Reseller's buyer support at https://paddle.net.
  5. Where the obstacle preventing access cannot be removed, the Customer has the right to withdraw from the contract or to claim a reasonable discount on the price.
  6. Because the Reseller is the seller of record, refunds are processed by the Reseller and are subject to the Reseller's refund policy in addition to the Customer's statutory rights and the provisions of these GTC. Where the Customer is entitled to a refund under these GTC or under mandatory law, the Provider will instruct the Reseller to issue it. Nothing in these GTC limits any statutory right the Customer may have against the Reseller as seller.

Art. VII Protection of Intellectual Property, Licence Terms

  1. By paying the price, the Customer acknowledges that the digital content/Courses are protected by copyright (in the Czech Republic under Act No. 121/2000 Coll., the Copyright Act, and internationally under the Berne Convention and other applicable copyright legislation), and that any misuse may be prosecuted.
  2. The contractual arrangements on the granting of the non-exclusive licence are governed by the provisions of the Czech Civil Code, Sections 2358 to 2383.
  3. By purchasing the digital content/Course offered for sale, the Customer does not acquire an exclusive licence to use it, i.e. the purchased digital content will remain available for purchase by other customers on the Provider's website.
  4. The Customer may use the purchased non-exclusive licence to the digital content/Course for their own needs only, except where the Customer passes the access rights to their Recipients or Participants for whose benefit the Customer concluded and paid for the contract.
  5. The customer must not make access to the digital content/Courses available to third parties who are not parties to the contract. In particular, it is prohibited to copy or distribute the content in any manner, or to present the purchased digital content as the customer's own. Any public publication of the content or of screenshots of the digital content/Course made accessible is likewise prohibited, except for the customer's own needs. Breach of these terms may be prosecuted.
  6. In addition to the above, it is prohibited to place the purchased digital content/Courses, or any part or copy thereof, on public storage services, whether password-protected or not (such as www.webshare.cz, www.datoid.cz and similar), including foreign services (e.g. Google Drive, Dropbox, OneDrive) and so-called torrents;
  7. It is likewise prohibited to place any parts of the digital content/Courses that are the subject of the non-exclusive licence on social networks such as Facebook, Instagram, LinkedIn, Twitter, X, YouTube and the like.
  8. It is prohibited to sell or offer the purchased digital content/Course or any part thereof in public databases, stock libraries and other types of websites where the digital content would be accessible to the general public.
  9. It is prohibited to provide the purchased digital content or any part thereof to other persons on a mass scale, other than to the Customer, Recipients and Participants, in particular when organising mass events (e.g. lectures, training sessions, courses and the like) as promotional or supporting materials for the attendees of such events;
  10. It is prohibited to make the texts available to artificial-intelligence tools and to use the purchased content to create new outputs generated by such tools.
  11. It is prohibited to use the purchased digital content for training artificial-intelligence tools.
  12. Other means of distribution by which the purchased digital content would be accessible to the general public are likewise prohibited.
  13. The above provisions do not apply to those parts of the purchased digital content which are already publicly available (e.g. quotations of legislation) or which are freely available under an open licence (e.g. the Inovace VOV portal or certain images, videos or photographs).
  14. Exceptions to the provisions of this Article are possible only with the prior written consent of the Provider and, as a rule, on special pricing terms differing from the provisions of Article III.
  15. Where the Customer demonstrably breaches these provisions, the Provider is entitled to claim a contractual penalty, depending on the nature of the breach: (a) up to CZK 15,000 (approx. EUR 600) for each instance of making the purchased digital content available to an individual third party; (b) up to CZK 30,000 (approx. EUR 1,200) for each item of digital content/Course made available to an indeterminate group of persons, in particular by placing it on a public storage service, social network, torrent or other publicly accessible service, or by reselling or offering it further. Payment of the contractual penalty is without prejudice to the Provider's right to compensation for damage in full.

Art. VIII Exclusion of Liability

  1. The Provider bears no liability whatsoever for damage arising from the incorrect interpretation of information contained in the digital content/Courses or for any harm to health thereby caused. Responsibility for professional competence rests with the employer or the operator of the activity concerned, in accordance with the applicable labour-law legislation.
  2. All services and products offered by the Provider serve educational and informational purposes. The information provided has the character of instructions and recommendations. The Provider is not liable for the customer's success or failure in applying the acquired knowledge in practice, for the customer's feelings, state of health or any states the customer may experience. Throughout the duration of the Courses, the customer is fully responsible for their own acts, conduct and decisions. The Customer's success depends on a number of further factors beyond the Provider's control, such as their skills, opportunities, knowledge, abilities, dedication, market conditions, business knowledge, state of health and the like.
  3. The Provider is not liable for the quality or scope of the practical training recommended to the Customer within the completion of the course, and neither the quality nor the scope of such training may be used as grounds for a complaint regarding the Course.
  4. The Provider bears no responsibility for occupational safety at the workplace.
  5. The Customer is responsible for compliance with the legislation of their own country in connection with the purchase and use of the digital content. The Provider makes no representation that the content of the Courses corresponds to the technical standards, regulations or certification requirements applicable outside the Czech Republic.

Art. IX Final Provisions

  1. The Provider is entitled to update these GTC. The Customer is obliged to check for changes to these GTC with each Order. The current version of the GTC is always displayed on the Website.
  2. The Contract is concluded in the Czech or English language, and rights and obligations not expressly regulated in these GTC are governed by the relevant provisions of the Czech Civil Code. The contractual relationship between the Customer and the Provider is governed by the GTC in effect at the time of conclusion of the Contract. The Contract is always valid under the GTC in force on the date of conclusion of the non-exclusive licence agreement.
  3. These GTC have been drawn up in the Czech and English languages. In the event of any discrepancy between the two versions, the Czech version shall prevail, save where the customer is a consumer and the mandatory law applicable to that consumer provides otherwise.
  4. Where any provision of these terms is or becomes invalid or ineffective, the invalid provision shall be replaced by a provision whose meaning comes as close as possible to the invalid provision. The invalidity or ineffectiveness of one provision does not affect the validity of the remaining provisions.
  5. In relation to the buyer, the Provider is not bound by any codes of conduct within the meaning of Section 1826(1)(e) of the Czech Civil Code.
  6. These GTC, and the relationship between the Customer and the Provider concerning the provision of and the licence to the digital content, are governed by Czech law. Where such a relationship contains an international (foreign) element, the parties agree that it is governed by Czech law, with the courts of the Czech Republic having jurisdiction. This is without prejudice to the rights of a consumer arising from the mandatory provisions of the law of the country of the consumer's habitual residence, which the consumer cannot be deprived of by the choice of law (in particular, for consumers resident in the European Union, under Article 6 of Regulation (EC) No 593/2008 (Rome I)); a consumer may also bring proceedings before the courts of their country of habitual residence where the applicable law so provides.
  7. The purchase transaction itself is concluded with the Reseller and is governed by the law stated in the Reseller's terms of sale. These GTC do not alter that relationship, and the Provider makes no representation on the Reseller's behalf.
  8. The Provider reserves the right to regulate further rights and obligations of the contracting parties beyond the scope of these terms. Such rules will always be stated in the e-shop next to the product concerned and take precedence over the provisions of these terms. Provisions of an individual written contract concluded between the parties likewise take precedence over these terms.
  9. The Provider is not liable for errors arising as a result of third-party interference with the Website or as a result of its use contrary to its intended purpose. When using the Website, no procedures may be applied that could have a negative effect on its operation, nor may any activity be carried out that could enable the Provider or third parties to interfere without authorisation with, or to use without authorisation, the software or other components forming the Website, or to use the e-shop or parts thereof or its software in a manner contrary to its designation or purpose.
  10. All rights to the e-shop, in particular the copyright to its content, including the page layout, photographs, films, graphics, trade marks, logos and other content and elements, belong to the Provider unless stated otherwise. It is prohibited to copy, modify or otherwise use the Website or parts thereof without the Provider's written consent.
  11. The Contract, including these terms, is archived in electronic form and is not publicly accessible.
  12. All written correspondence between the Provider and the customer may be delivered by electronic mail.
  13. These terms may be supplemented or amended. This, however, does not alter the rights and obligations of the parties which arose while the previous wording of the terms was in effect.
  14. Amendments to the business terms in any form other than a mutually agreed written form are excluded.

Art. X Out-of-Court Settlement of Disputes

  1. The Czech Trade Inspection Authority (Česká obchodní inspekce), with its registered office at Štěpánská 567/15, 120 00 Prague 2, Czech Republic, Company ID: 000 20 869, website: https://adr.coi.cz/en, is the body competent for the out-of-court settlement of consumer disputes arising from the purchase contract.
  2. The European Consumer Centre Czech Republic, with its registered office at Štěpánská 567/15, 120 00 Prague 2, website: http://www.evropskyspotrebitel.cz, is the contact point under Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes. Consumers resident in another EU Member State may also contact the European Consumer Centre in their own country.
  3. Consumers residing outside the European Union may contact the consumer protection authority or the competent out-of-court dispute resolution body in their country of residence. This is without prejudice to the right to bring the dispute before the competent court.
  4. Where the dispute concerns the purchase transaction, payment, invoicing, taxes or a refund, it should first be raised with the Reseller as the seller of record through the Reseller's buyer support. Disputes concerning the content of the Courses, access to them or the licence should be raised with the Provider.
  5. The Provider is authorised to sell goods on the basis of a trade licence. Trade licence supervision is carried out within its remit by the competent trade licensing office. Among other things, the Czech Trade Inspection Authority supervises, within the defined scope, compliance with Act No. 634/1992 Coll., on consumer protection.

These business terms and conditions take effect on the day of their publication on the website www.cinemaprojectionist.com
